Healing Microbiome Group Coaching Program Enrollment Agreement

This Enrollment Agreement (“Agreement”) is entered into by and between Healing Microbiome LLC ("Company", “we”, or “us”) and You (“Client” or “You”) and governs your participation in the course(s) and/or coaching programs offered by Healing Microbiome LLC. By clicking “I Agree,” entering your payment information, or otherwise enrolling (electronically, verbally, or otherwise), you agree to the terms of this legally binding agreement.

  1. Company’s Services

Upon execution of this Agreement, Healing Microbiome LLC offers a non-medical, educational online group coaching program titled “Healing Microbiome: Learn to Reprogram Your Health in 2 Weeks,” facilitated by Dr. Neal Shah, founder of Healing Microbiome LLC.

The program includes:

  • Daily live group coaching sessions (1 hour/day for 14 days), delivered virtually via Zoom or similar platform
  • Replay access for 6 weeks from the program start date or 4 weeks after completion
  • Video lectures, reading materials, worksheets, and tools
  • Guided practices including meditation, dietary advice, and lifestyle adjustments
  • Educational content on the Energy-Mind-Microbiome-Body connection
  • Q&A sessions and group discussion forums
  • Email support from purchase date until 4 weeks after program completion
  • Evidence-informed recommendations based on microbiome science and holistic health principles

Bonuses Included:

  • Online Course Access – “Healing Microbiome: Restore Your Health”
    12-month access to a self-paced course focused on microbiome balance and chronic disease reversal through lifestyle, meditation, and quantum biology.
  • Private 1-on-1 Online Consultation with Dr. Neal Shah
    One 40-minute virtual session to support personal health goals. Must be scheduled within 6 weeks of program start or 4 weeks after completion.

The program does not include:

  • Medical diagnosis, treatment, or prescriptions
  • Individualized medical advice
  • Services intended to replace professional healthcare

Participation is for educational purposes only. No doctor-patient relationship is established.

Company reserves the right to substitute services with equal or comparable offerings if needed. Updates to the core program will be provided for as long as the program is offered. Bonuses may vary with promotions and are not guaranteed beyond enrollment.

  1. Participants

This program is intended for individuals aged 18 and above. Healing Microbiome LLC disclaims liability for use by minors.

  1. Incorporated Policies

By enrolling, you agree to the Terms of Service and Disclaimer, and Privacy and Cookie Policy, which are incorporated by reference.

Healing Microbiome LLC complies with applicable data protection laws, including the Family Educational Rights and Privacy Act (FERPA) and the General Data Protection Regulation (GDPR), where relevant. Client data is stored securely and used solely for program administration and communication.

  1. Fees

The total price for the group coaching program, including all bonuses, is $247 USD. Full payment is required at registration. No payment plan is available.

Access to the program and bonuses will only be granted upon receipt of full payment. No partial access is provided.

  1. Payment Methods

Payments are accepted via Stripe and PayPal, which support major credit/debit cards and PayPal accounts. All payments are processed in USD.

  • Security: Payment details are not stored on our servers.
  • Responsibility: You are responsible for maintaining accurate payment information.
  • Disputes: Contact us first to resolve any payment issues.
  • Authorization: By providing payment info, you authorize automatic charges and will receive an electronic receipt.

Stripe and PayPal’s terms apply:

  1. Refund Policy

No refunds are issued once the program is accessed or delivered. Cancellation by the Client does not entitle them to a refund.

  1. Chargebacks & Payment Security

Chargebacks or card cancellations are not permitted without written consent. You are responsible for any fees related to chargebacks or failed payments.

  1. No Resale of Services

You may not reproduce, resell, or share any part of the program for commercial purposes. Materials are for personal use only.

  1. Intellectual Property Rights

All content is the intellectual property of Healing Microbiome LLC. You may not distribute, reproduce, or use materials for business purposes without written consent.

Fair use exceptions do not apply to commercial redistribution or unauthorized sharing. Any violation may result in legal action.

  1. Limitation of Liability

By enrolling, you release Healing Microbiome LLC from liability for any damages. If liability is found, it is limited to the lesser of:
(a) fees paid in the month prior to the claim, or
(b) $1000 USD.

Claims must be submitted within 100 days of the cause of action.

  1. Disclaimer of Guarantee

Results vary by individual. No guarantees are made regarding outcomes. You are responsible for your own progress.

  1. Course/Coaching Rules

Respectful behavior is required. Disrespect or rule violations may result in termination without refund.

  1. Use of Course/Coaching Materials

You grant Healing Microbiome LLC a royalty-free, worldwide, irrevocable license to use your name, voice, likeness, and submitted materials in recordings, promotional content, and educational materials. No compensation will be provided.

  1. No Substitute for Medical Treatment

This program is not a replacement for professional medical advice. Consult your healthcare provider before making health-related decisions. Do not discontinue prescribed medications without medical supervision.

  1. Termination

Failure to comply or make timely payments may result in termination. Outstanding fees will be collected.

  1. Confidentiality

Healing Microbiome LLC agrees to safeguard your confidential information and not disclose it without written consent, except as required by law.

  1. Non-Disparagement

Both parties agree not to publicly or privately disparage each other. Disputes must be resolved through the process outlined herein.

  1. Indemnification

You agree to indemnify and hold harmless Healing Microbiome LLC and its affiliates from any claims or liabilities arising from your use of the program, except in cases of Company’s sole negligence or misconduct.

  1. Governing Law & Venue

This Agreement is governed by the laws of Maryland. Disputes shall be resolved via binding arbitration in Maryland. The prevailing party may recover reasonable legal fees.

  1. Entire Agreement

This Agreement supersedes all prior agreements. Modifications must be in writing and signed by both parties.

  1. Survivability & Severability

Terms related to payment, confidentiality, intellectual property, and non-disparagement survive termination. If any part is unenforceable, the remainder remains valid.

  1. Execution

By clicking “I Agree,” you accept the terms of this Agreement. Electronic signatures and copies carry the same legal weight as originals under the E-SIGN Act.
